MediPaid Technologies Inc. ("MediPaid," "we," "us," or "our") and the Healthcare Finance Intelligence Council ("HFIC") are committed to protecting your privacy. This Privacy Policy explains how we collect, use, disclose, and safeguard your information when you visit our websites (https://medipaid.tech and https://hfic.medipaid.tech), mobile applications, and use our healthcare finance intelligence services.

We comply with the Data Privacy Act of 2012 (RA 10173) of the Philippines and applicable international data protection standards including GDPR principles where applicable.

About HFIC

HFIC (Healthcare Finance Intelligence Council) is a neutral professional council powered by MediPaid that brings together healthcare operators, HMOs, clinics, diagnostic centers, TPAs, and healthtech builders for industry collaboration, research, and dialogue. Both MediPaid and HFIC users are subject to this Privacy Policy.

2. Information We Collect

2.1 Information You Provide Directly

Account Registration: Name, email address, organization, phone number, and role (MediPaid platform or HFIC membership)
Assessment Forms: Information submitted through our assessment request forms
HFIC Membership: Organization details, membership tier, and industry category
Communication: Messages, emails, and inquiries sent to support@medipaid.tech
Healthcare Claims Data: De-identified claims information, payer details, and receivables data you upload (if applicable)
Webinar & Event Registration: Registration for HFIC webinars, roundtables, and forums

2.2 Information Automatically Collected

Device Information: Device type, operating system, browser type, and IP address
Usage Data: Pages visited, time spent on site, features used, and interactions with our platform
Cookies & Tracking: We use standard analytics and session cookies to improve user experience

3. How We Use Your Information

To provide, maintain, and improve our healthcare finance intelligence services
To manage HFIC membership, webinars, roundtables, and forums
To process assessments, pilots, and client onboarding

4.2 HFIC Member Networking

HFIC is designed for industry collaboration. We may share your organization name and role with other HFIC members for networking and dialogue purposes, unless you opt-out. Your full contact details are never shared without explicit consent.

4.3 Legal Requirements

We may disclose information when required by law, court order, or government authority, or to protect our legal rights and the safety of our users.

4.4 Business Transfers

In the event of merger, acquisition, or sale of assets, your information may be transferred as part of that transaction (we will notify you accordingly).

5. Data Security

We implement industry-standard security measures including:

Encrypted data transmission (HTTPS/TLS)
Secure database encryption (Supabase with PostgreSQL encryption)
Access controls and authentication protocols
Regular security audits and updates
Compliance with healthcare data protection standards

While we strive to protect your information, no transmission over the internet is 100% secure. We cannot guarantee absolute security of your data.

6. Data Retention

Account Data: Retained while your account is active; deleted upon account termination (30-day grace period)
Communications: Retained for compliance and support purposes (up to 3 years)
Claims Data: Retained according to your service agreement (typically during active pilot/contract)
HFIC Membership: Retained during active membership; deleted 90 days after membership termination
Analytics: Aggregated data retained indefinitely; individual-level data anonymized after 12 months

7. Your Rights Under Philippine Law (RA 10173)

As a data subject, you have the following rights:

Right to Access: Request access to your personal information
Right to Rectification: Correct inaccurate or incomplete data
Right to Erasure: Request deletion of your data (subject to legal obligations)
Right to Data Portability: Receive your data in a structured, portable format
Right to Object: Opt-out of certain processing activities
Right to Lodge a Complaint: File complaints with the National Privacy Commission (NPC) of the Philippines

MediPaid and HFIC services are not directed to individuals under 18 years of age. We do not knowingly collect information from minors. If we become aware of such collection, we will promptly delete the information and notify the parent/guardian.

11. International Data Transfers

As MediPaid and HFIC operate in Southeast Asia, your data may be transferred and processed in jurisdictions outside the Philippines. By using our services, you consent to such transfers. We ensure equivalent data protection standards are maintained.

12. Changes to This Privacy Policy

We may update this policy periodically. We will notify you of material changes via email or prominent website notice. Your continued use of our services constitutes acceptance of the updated policy.

1. Agreement to Terms

By accessing and using MediPaid's and HFIC's websites, mobile applications, and services, you agree to be bound by these Terms of Service. If you do not agree to any part of these terms, you may not use our services.

These terms are governed by the laws of the Republic of the Philippines and apply to all users, regardless of location.

2. Services Description

2.1 MediPaid Services

MediPaid provides healthcare finance intelligence infrastructure services including:

AI-powered claims processing and tracking
Multi-payer portal and HMO coordination
Receivables management and reconciliation
Healthcare finance analytics and reporting
DWY (Done With You) and DFY (Done For You) subscription tiers

2.2 HFIC Services

HFIC provides industry collaboration services including:

Member network access and engagement
Webinars, roundtables, and forums
Healthcare finance research and reports
Working groups and industry initiatives
Executive networking opportunities

3. User Eligibility

You represent and warrant that:

You are at least 18 years of age
You have the legal authority to enter into this agreement
You are acting on behalf of an authorized organization (clinic, HMO, healthcare provider, etc.)
You will use MediPaid and HFIC services only for lawful healthcare finance operations purposes

4. Account Registration & Responsibilities

4.1 Account Creation

To access certain features, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and are liable for all activities under your account.

4.2 Account Security

You agree to:

Use strong, unique passwords
Notify us immediately of unauthorized access (support@medipaid.tech)
Log out of your account after each session
Not share credentials with unauthorized parties

5. Acceptable Use Policy

You agree NOT to:

Use the platform for illegal or unethical healthcare practices
Attempt to hack, reverse-engineer, or breach security systems
Upload malware, viruses, or harmful code
Harass, threaten, or abuse other users (especially in HFIC forums)
Infringe on intellectual property or data privacy rights
Violate healthcare regulations (PhilHealth, FDA, BIR, PRA requirements)
Manipulate or misrepresent claims data
Use automated tools to scrape or extract data without permission

6. Intellectual Property Rights

6.1 MediPaid & HFIC IP

All content, features, and functionality (including software, logos, designs, and technology) are owned by MediPaid or HFIC or our licensors and are protected by international copyright, trademark, and patent laws.

6.2 User Content License

By uploading claims data, documents, or communications to MediPaid or HFIC, you grant us a non-exclusive, royalty-free license to:

Process and analyze your data to provide services
Store and backup your information securely
Use aggregated, anonymized data for analytics, research, and platform improvement
(HFIC only) Share insights and learnings with HFIC members (while maintaining confidentiality of your organization's proprietary information)

6.3 Restricted Uses

You may not:

Reproduce, modify, or distribute our content without permission
Use our branding or trademarks without authorization
Create derivative works based on our platform

7. Fees, Billing & Payment

7.1 MediPaid Subscription Tiers

MediPaid offers DWY (Done With You) and DFY (Done For You) subscription models with pricing based on managed receivables, transaction volume, or flat monthly retainers as outlined in your service agreement.

7.2 HFIC Membership

HFIC membership is currently FREE for founding members (subject to application and approval). Future membership tiers may be introduced with advance notice.

7.3 Payment Terms

Invoices are due within 30 days of issuance (or as specified in contract)
Late payments incur 1% monthly interest
Payment method: Bank transfer, credit card, or as agreed
All prices are in Philippine Pesos (PHP) unless otherwise stated

7.4 Billing Disputes

Report billing discrepancies within 30 days to support@medipaid.tech. We will investigate and resolve disputes in good faith.

8. Service Level Agreement (SLA)

MediPaid - Pilot Phase: Best-effort support; no guaranteed uptime

MediPaid - Active Contract: 99% uptime target; scheduled maintenance communicated in advance

HFIC: Best-effort support for webinars and member forums

Support Hours: 9 AM - 6 PM PHT, Monday-Friday

9. Limitation of Liability

9.1 Disclaimer

MediPaid and HFIC services are provided "AS IS" without warranties of any kind, express or implied. We do not warrant that:

Services will be uninterrupted or error-free
Defects will be corrected
Results will meet your expectations

9.2 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDIPAID'S AND HFIC'S LIABILITY FOR ANY DAMAGES, LOSSES, OR CLAIMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

9.3 Excluded Damages

IN NO EVENT SHALL MEDIPAID OR HFIC BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF SUCH POSSIBILITY.

10. Indemnification

You agree to indemnify, defend, and hold harmless MediPaid and HFIC from any claims, damages, or expenses arising from:

Your violation of these terms
Your unauthorized use of the platform
Your infringement of third-party rights
Your violation of applicable healthcare laws or regulations

11. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the relationship. This excludes:

Information required to be disclosed by law
Information that was previously public or independently developed
(HFIC only) Aggregated, de-identified insights shared with member community

12. Term & Termination

12.1 MediPaid Pilot Programs

30-day pilots can be terminated by either party with written notice. After 30 days, continued use constitutes acceptance of our standard service agreement terms.

12.2 HFIC Membership

HFIC membership is continuous during the membership year. Either party may terminate membership with 30 days' written notice. Founding members retain lifetime recognition status.

12.3 Service Termination

We may suspend or terminate services if you:

Violate these terms or applicable law
Engage in illegal healthcare practices
Default on payment for 60+ days
Breach security or data protection obligations

12.4 Data Upon Termination

Upon account termination:

We will provide a 30-day grace period to export your data
After 30 days, data is deleted unless required by law to retain
No refunds for partial months or early termination (unless breach is MediPaid's)

13. Regulatory Compliance

You represent that your use of MediPaid and HFIC complies with all applicable healthcare regulations including:

Data Privacy Act of 2012 (RA 10173) - Philippines
Healthcare provider licensing and accreditation requirements
PhilHealth and insurance commission regulations
Bureau of Internal Revenue (BIR) compliance
Philippine Statistics Authority (PSA) data requirements
GDPR (if processing data of European Union residents)

14. Dispute Resolution

14.1 Negotiation

Any dispute shall first be subject to good-faith negotiation between the parties. Send notice to support@medipaid.tech.

14.2 Escalation

If negotiation fails within 30 days, disputes may be referred to mediation or arbitration under Philippine Arbitration Law.

14.3 Governing Law

These terms are governed by the laws of the Republic of the Philippines, without regard to conflict of law principles. Jurisdiction is in the Metropolitan Trial Court of Pasig City.

15. Modifications to Terms

We may update these terms periodically. Continued use of our services constitutes acceptance of updated terms. We will notify you of material changes via email or website notice.

16. Severability

If any provision of these terms is found invalid or unenforceable, the remaining provisions shall continue in effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid.
